By accessing tchknw.net or using any TechKnow services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Notice.

These terms constitute a legally binding agreement between you and TechKnow. We reserve the right to modify these terms at any time. Continued use after changes constitutes acceptance of the modified terms.

TechKnow provides rapid web development and modernization services, including:

• Custom web application development
• AI-powered application development
• Legacy system modernization
• Cloud infrastructure services
• Managed database administration (mDBA)
• Project management and consulting
• Hosting and maintenance services

Service specifics, deliverables, timelines, and pricing are defined in individual project agreements, proposals, or statements of work that supplement these terms.

When you create an account with TechKnow:

• You must provide accurate, complete, and current information
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized access or security breach
• You may not share your account or transfer it to another person
• We reserve the right to suspend or terminate accounts that violate these terms

Pricing and Invoices

• All prices are in USD unless otherwise specified
• Project pricing is defined in proposals and confirmed before work begins
• Invoices are payable within the terms specified (typically net 30 days)
• Late payments may incur interest charges or service suspension
• We accept credit cards, ACH, and other payment methods via Stripe

Recurring Services

• Care Plans and hosting services are billed monthly or annually as agreed
• Automatic renewals occur unless you cancel before the renewal date
• Cancellation requires 30 days' written notice
• Refunds are provided only as explicitly stated in service agreements

Scope Changes

Changes to project scope, timeline, or deliverables may result in adjusted pricing. We will provide written estimates and obtain your approval before implementing changes that affect cost.

Your Content

You retain all rights to content, data, and materials you provide to us. By providing content, you grant us a license to use it solely for delivering services to you.

Deliverables

Upon full payment, you receive ownership of custom code and deliverables created specifically for your project. We retain rights to:

• Reusable components, libraries, and frameworks we develop
• Pre-existing intellectual property and tools
• General knowledge, techniques, and methodologies

TechKnow Property

All rights to the TechKnow website, branding, documentation, and proprietary tools remain our exclusive property. You may not copy, modify, or distribute our materials without written permission.

You may not use TechKnow services to:

• Violate any laws, regulations, or third-party rights
• Distribute malware, viruses, or harmful code
• Engage in fraudulent, deceptive, or misleading activities
• Infringe on intellectual property rights
• Harass, abuse, or harm others
• Collect data from users without consent
• Interfere with or disrupt our services or infrastructure
• Attempt unauthorized access to systems or accounts
• Resell or redistribute our services without authorization

Our Commitment

We strive to deliver high-quality services using industry best practices. We warrant that services will be performed in a professional and workmanlike manner.

You agree to indemnify, defend, and hold harmless TechKnow and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms of Use
• Your violation of any rights of another party
• Content or data you provide to us

We reserve the right to suspend or terminate your access to our services at any time for:

• Violation of these Terms of Use
• Non-payment or fraudulent payment activity
• Illegal or harmful conduct
• Any reason we deem necessary to protect our business or users

You may terminate your account at any time by contacting us. Termination does not relieve you of payment obligations for services already rendered.

These Terms of Use are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles.

Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or through the courts of Georgia if arbitration is not applicable.

Entire Agreement: These terms, together with any service agreements and our Privacy Notice, constitute the entire agreement between you and TechKnow.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment: You may not assign these terms without our written consent. We may assign our rights and obligations at any time.
